1. Scope & Acceptance of Terms

These Terms and Conditions, together with our Privacy Policy, constitute a legally binding End User License Agreement ("Agreement") between Lalwin Systems ("we," "us," or "Licensor") and the individual or business entity ("Customer," "Licensee," or "you") downloading, evaluating, or licensing StudyDesk (application identifier: com.study-desk.lalwin).

By installing, copying, launching, or using StudyDesk, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not install or use the software.

2. Software License Grant (Trial vs. Perpetual Lifetime)

Subject to compliance with this Agreement, Lalwin Systems grants you the following non-exclusive, non-transferable rights:

3. Pricing, GST Invoicing & Commercial Terms

• One-Time Upfront Fee: Commercial licenses are sold on a transparent, one-time payment structure. There are zero hidden monthly server maintenance fees or per-student seat surcharges.
• GST Tax Invoicing: Official GST tax invoices detailing Central GST (CGST) and State GST (SGST) or Integrated GST (IGST) are provided for all commercial transactions in India upon receipt of your business GSTIN.
• Single PC Activation: Each standard commercial license key entitles activation on one (1) primary reception computer. Multi-terminal licenses or additional branch installations may be licensed separately.

4. Free Onboarding & Technical Support Scope

We pride ourselves on direct engineering support without outsourced call centers:

• Personal Setup Assistance: During your trial and initial onboarding, founder Shubham provides direct remote setup support via WhatsApp, phone, or remote desktop (AnyDesk/TeamViewer) to assist with hall layout configuration, shift setup, and printer testing.
• Included 30-Day Priority Support: Every commercial lifetime license includes 30 days of priority technical support covering operational questions, database backup guidance, and configuration changes.
• Maintenance & Bug Fix Updates: Stability bug fixes and core maintenance updates within the major software version release are provided free of charge.

5. Customer Responsibilities & Offline Backup Liability Boundary

You explicitly acknowledge and agree that:

• Regular Backups Are Your Responsibility: You must regularly generate offline database snapshots (using StudyDesk's 1-click USB backup export) or maintain an active sync to your personal Google Drive account.
• Hardware Protection: You are responsible for ensuring adequate power backup (UPS/inverter) to prevent unexpected hardware shutdowns that could corrupt your local operating system or hard disk.
• Exclusion of Data Loss Liability: Under no circumstances shall Lalwin Systems be held liable for any loss of records, missed renewal collections, corrupted local hard disks, physical hardware theft, operating system crashes, or ransomware attacks occurring on your computer.

6. Intellectual Property & Usage Restrictions

StudyDesk, including its source code, compiled binaries, user interfaces, branding, SVG graphics, and documentation, is the exclusive proprietary intellectual property of Lalwin Systems and is protected by applicable copyright and intellectual property laws.

You agree that you will not:

• Decompile, disassemble, reverse engineer, or attempt to derive the source code of StudyDesk.
• Bypass, modify, crack, or tamper with the license activation routines or hardware binding mechanisms.
• Sub-license, resell, lease, rent, redistribute, or publicly host the StudyDesk installer for unauthorized third-party download.
• Remove or alter any proprietary notices, trademarks, or copyright labels affixed to the software.

7. 14-Day Free Trial & Refund Policy

We believe in honest, pressure-free business relationships:

• Complete Risk-Free Evaluation: We provide a full 14-day free trial with 100% features unlocked so that you can verify that StudyDesk meets your library's exact requirements before investing any money.
• All Sales Final Post-License Issuance: Because the software is provided as a downloadable digital asset with a 14-day unrestricted evaluation period, all commercial lifetime license sales are final and non-refundable once your permanent commercial license key has been generated and delivered.

8. Warranty Disclaimer & Limitation of Liability

StudyDesk is provided on an "as-is" and "as-available" basis. While we build robust, high-performance desktop software tested extensively for library workflows, Lalwin Systems makes no warranties that the software will be completely uninterrupted or entirely error-free on every conceivable hardware configuration.

To the maximum extent permitted by applicable law, in no event shall Lalwin Systems or its founder be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, loss of business goodwill, or loss of operational data—arising out of the use or inability to use the software.

In all cases, Lalwin Systems' total aggregate liability under this Agreement shall be strictly limited to the actual purchase price paid by you for the software license.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal dispute, claim, or controversy arising out of or relating to this Agreement or the software shall be subject to the exclusive jurisdiction of the competent courts located in Gujarat, India.
